im mba student ,im new in businesslaw ,i dont know how to write this coursework,could please help me Question 1 You are the owner of a business in England engaged in the sale of a variety of products to customers. Discuss, in the context of a sales transaction involving your firm (you may select a transaction involving a particular product or products with which you are familiar),contractual provisions you would incorporate that would allow you to minimize your liabilities to customers while maximizing your rights against them. Your answer should discuss the extent to which the law would permit you to gain the contractual advantages you wish to obtain.

As far as question 1, choose what kind of firm you will have (Will you sell tennis rackets? Bowler hats? A clothing line?). Next comes the main portion of the question; figure out what kind of an agreement you need to have between your company and your customers (are they individuals? Are they other firms? This will matter because they require different liability reference points.) to get you the least amount of responsibilities towards them, and at the same time allow them very few ramifications against you. If your instructor assigned a specific textbook for your course, this would be a good place to start as it may provide you with some general liability rules. It looks like your instructor is requiring you also to explain your choices in regards to how legal they are.
In question 2, it looks like the first section wants you to discuss English corporate law regarding individual shareholders pertaining to one of two choices. A: the laws that let shareholders limit their liabiilty in the company in regards to people they owe money to, or B, the laws ruling over fraud and other dishonest business practices. Again, if you have a textbook, this is a good place to start.
You may also want to begin an online search using keywords such as "maladministration and English company law", "English company law and rights/obligations of shareholders" and other like phrases.

Yes I understood my subject after your mail, but I have confuse about the reference style and outline of my coursework, this is UK university coursework ,already I have done some coursework other subject(ecnomics,strategy,mis...),but I heard business and commercial law coursework' writing structure (outline) is a different. If possible, could you please explain

Good afternoon.
There are many different reference styles used; APA, MLA, Harvard, British English. The type required depends on your instructor. In your syllabus the instructor may state which style he/she requires. If he/she does not, you will need to ask him/her which style you are to use. Once you know which style you need to use, you can do an internet search using keywords including the reference style (i.e. "APA") and "examples". This will bring up in text and/or works cited page examples that you can model from. As far as commercial and business law coursework being different from other coursework, this is up to your instructor.

Software are goods; once you purchase it you can hold it in your hands, it is tangible. As far as whether or not it is covered under UK contract law, as I am not an expert in your subject area, unfortunately I cannot help you with that.
